The rules for using Forgeon.
Heads up: These Terms are a practical baseline for Forgeon’s PaaS. They are not legal advice. Please have qualified counsel review and tailor to your jurisdiction(s) and business needs before launch.

Terms of Service
These Terms of Service (“Terms”) govern your access to and use of Forgeon’s websites, dashboard, APIs, and related services (collectively, the “Services”). By creating an account, accessing, or using the Services, you agree to these Terms. If you do not agree, do not use the Services.
“Forgeon,” “we,” “us,” and “our” refer to Forgeon (company details to be inserted upon incorporation).
1) Eligibility
You must be at least the age of majority in your jurisdiction (and at least 13 years old) to use the Services. You represent that you have authority to bind the organization you act on behalf of.
2) Accounts & Organization Admins
You must provide accurate information and keep it updated. You’re responsible for all activities under your account and for safeguarding credentials, tokens, and access keys. Organization admins may manage members, roles, and resources within your org.
3) Access to the Services
We grant you a non-exclusive, non-transferable right to access and use the Services in accordance with these Terms, your plan limits, and Documentation. We may modify the Services at any time, with reasonable efforts to avoid material regressions.
4) Acceptable Use
You agree not to:
- Violate laws, infringe IP, or harm others’ rights.
- Probe or interfere with non-public systems without permission.
- Upload or run malware, spam, or content that is unlawful or abusive.
- Attempt to bypass quotas, rate limits, billing, or security controls.
- Misuse resources (e.g., crypto mining, DDoS, open proxies) unless explicitly permitted.
We may suspend or restrict the Services to address violations, security risks, or stability issues.
5) Your Content & Customer Data
As between you and Forgeon, you own your code, data, and content processed via your apps (“Customer Data”). You grant Forgeon the rights necessary to operate the Services (e.g., store, process, transmit, backup, display for logs/metrics, and generate artifacts). You are responsible for obtaining all required rights and consents for Customer Data and for your users’ compliance.
If we process personal data on your behalf, our role is processor/service provider. See the Privacy Policy and (if applicable) a separate Data Processing Addendum (“DPA”).
6) Third-Party Services & Integrations
You may enable services or integrations (e.g., GitHub, email providers, analytics). Your use of them is governed by those third parties’ terms and privacy policies. Forgeon is not responsible for third-party services.
7) Plans, Billing & Taxes
Paid plans, quotas, and pricing are described on Pricing. By subscribing, you authorize Forgeon (or its payment processors) to charge fees plus applicable taxes. Unless stated otherwise, subscriptions renew automatically until canceled. We may change pricing with prior notice; changes apply to subsequent terms.
Refunds: Except as required by law or expressly stated, fees are non-refundable.
Free Tier / Trials: We may offer free or trial access; we may modify or terminate such access at any time.
8) Beta, Preview & Experimental Features
We may offer features labeled alpha, beta, preview, or experimental. They are provided “as is,” may change, and may be subject to lower or different support and SLAs.
9) Service Levels & Support
Unless you have a separate agreement, the Services are provided without formal uptime commitments. We aim for steady availability and quick recovery. Support channels and response times vary by plan.
10) Security & Privacy
We implement reasonable technical and organizational measures to protect information. See Security and Privacy Policy. You are responsible for securing your accounts, keys, and client-side configurations.
11) Intellectual Property; Feedback
Forgeon and its licensors retain all rights, title, and interest in and to the Services, software, and branding. You may not copy, modify, reverse engineer, or create derivative works of the Services except as permitted by law.
Feedback: If you provide feedback or suggestions, you grant Forgeon a perpetual, irrevocable, worldwide, royalty-free license to use it without restriction.
12) Open Source Software
The Services may include or interoperate with open-source components, which are provided under their respective licenses. To the extent of any conflict, those licenses govern your use of the relevant components.
13) Confidentiality
Each party may access confidential information of the other in connection with the Services. The receiving party will use such information only as necessary to perform under these Terms and will protect it with reasonable care. This section does not restrict disclosures required by law, with prompt notice where lawful.
14) Subprocessors & International Transfers
We use trusted providers to operate the platform (compute, storage, email, analytics, etc.). See Subprocessors (placeholder). Data may be processed in locations where we or our providers operate, subject to appropriate safeguards.
15) Export Controls & Sanctions
You must comply with applicable export control and sanctions laws and may not use the Services if you are subject to sanctions or located in an embargoed jurisdiction.
16) Suspension & Termination
We may suspend or terminate access immediately if: (a) you materially breach these Terms; (b) necessary for security, legal compliance, or platform integrity; or (c) fees are unpaid after notice. You may terminate at any time by canceling your subscription and discontinuing use.
Effect of termination: Your access ends; we may delete data after a retention window. Some sections survive termination (e.g., IP, confidentiality, disclaimers, liability limits, indemnities).
17) Disclaimers
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, FORGEON DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT THE SERVICES WILL BE ERROR-FREE OR UNINTERRUPTED.
18) Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, FORGEON WILL NOT BE LIABLE FOR: (A) INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; (B) LOSS OF USE, DATA, BUSINESS, REVENUE, OR PROFITS; OR (C) DAMAGES EXCEEDING THE AMOUNTS PAID BY YOU TO FORGEON FOR THE SERVICES IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY (OR USD $100 IF YOU ARE ON A FREE TIER). THESE LIMITATIONS APPLY EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE.
19) Indemnification
You will defend, indemnify, and hold harmless Forgeon and its affiliates from claims, damages, liabilities, and expenses arising from or related to: (a) your use of the Services; (b) your content or Customer Data; (c) your violation of laws or these Terms; or (d) your applications’ dealings with your end-users.
20) Governing Law; Dispute Resolution
These Terms are governed by the laws of [insert jurisdiction] without regard to conflict of laws. Disputes will be resolved exclusively in the courts of [insert venue], unless the parties agree to arbitration.
Optional: If you prefer arbitration, insert your arbitration clause (e.g., confidential, binding arbitration under [rules] in [venue]).
21) Changes to Terms
We may update these Terms to reflect changes in the Services or legal requirements. If we make material changes, we will provide reasonable notice (e.g., dashboard banner or email). Continued use after the effective date constitutes acceptance.

We may send notices to the email associated with your account or through the dashboard. You may send notices to legal@forgeon.io (placeholder).
23) Miscellaneous
These Terms are the entire agreement between you and Forgeon regarding the Services and supersede any prior agreements. If any provision is unenforceable, the remainder remains in effect. You may not assign these Terms without our consent; we may assign in connection with a reorganization, merger, acquisition, or asset sale. No waiver is effective unless in writing.
